If you use our Services on behalf of a dental practice, healthcare organization, corporation, or other entity, you represent that you possess the authority to enter into binding agreements on that entity’s behalf.
If you do not agree with these Terms, you should discontinue use of the Website.
Additional written agreements may govern specific Services. If a conflict arises, the more specific signed agreement controls concerning the applicable Services unless otherwise expressly stated.

Dental Office SEO may use employees, independent contractors, subcontractors, software, automation tools, and third-party service providers to perform Services, subject to applicable confidentiality, contractual, and legal obligations.
3. No Guarantee of Search Engine Rankings or Business Results
Dental Office SEO applies professional knowledge, commercially reasonable efforts, and established digital marketing practices to improve client visibility and marketing performance.
However, search engine rankings, website traffic, advertising performance, lead generation, and business results depend on numerous factors outside our control.
These factors may include search engine algorithms, competitor activity, industry conditions, advertising budgets, website functionality, user behavior, market demand, and third-party platform policies.
Dental Office SEO does not guarantee:
- First-page Google rankings.
- Number-one positions in organic search results or Google Maps.
- Specific keyword rankings.
- Placement in Google’s Local Pack.
- Specific increases in website traffic.
- A minimum number of leads, telephone calls, appointments, or patients.
- Particular conversion rates or advertising returns.
- Specific revenue, profitability, or business growth.
- Permanent retention of existing rankings.
- Inclusion or visibility in AI-generated search results.
- Particular indexing, crawling, or search engine treatment.
Any projections, forecasts, case studies, performance estimates, or examples are illustrative unless expressly incorporated as binding commitments in a signed agreement.
Past performance does not guarantee future results.
A decline in rankings, traffic, or conversions does not independently establish that Dental Office SEO failed to perform contracted Services.
Nothing in this section excuses our obligation to perform expressly agreed Services with reasonable professional care.
4. Search Engine and Third-Party Platform Changes
Dental Office SEO does not own or control Google, Bing, Meta, Yelp, WordPress, website hosting providers, advertising networks, search engines, AI discovery platforms, or other independently operated technologies.
These platforms may modify algorithms, policies, ranking factors, advertising rules, account requirements, pricing, and technical functionality without notice.
Such changes may affect website visibility, advertising performance, account accessibility, and marketing results.
Dental Office SEO is not responsible for independent actions or omissions of third-party platforms beyond our reasonable control.
This includes algorithm updates, account suspensions, listing removals, search result fluctuations, indexing delays, policy enforcement, and platform outages, except to the extent caused by our own breach, negligence, or other legally actionable conduct.
Additional work required to respond to significant platform changes may be subject to a revised scope and additional fees.
5. Client Responsibilities
Clients agree to cooperate reasonably and provide the information, approvals, permissions, materials, and account access necessary to perform the contracted Services.
Client responsibilities may include:
- Providing accurate and current business information.
- Maintaining appropriate website, domain, hosting, and platform accounts.
- Granting necessary administrative or delegated access.
- Reviewing and approving requested materials within agreed timelines.
- Supplying lawful and accurate marketing claims, photographs, and business information.
- Maintaining required professional licenses and regulatory compliance.
- Responding to prospective patient inquiries and business leads.
- Maintaining appropriate website functionality and operational resources.
- Paying agreed fees and third-party expenses when due.
- Informing Dental Office SEO of significant changes affecting the business or engagement.
Clients are responsible for the accuracy and legality of information they provide.
Delays caused by missing information, withheld access, late approvals, unpaid invoices, or other client-side circumstances may extend project timelines.
Dental Office SEO is not responsible for consequences directly attributable to a client’s failure to meet its responsibilities, except where otherwise required by law or agreed in writing.
6. Healthcare Marketing and Regulatory Compliance
Dental Office SEO specializes in marketing services for dental practices and healthcare-related businesses.
Clients remain responsible for ensuring that their professional advertising, patient communications, clinical claims, testimonials, disclosures, and business operations comply with applicable laws and professional regulations.
These may include:
- State dental board advertising regulations.
- Federal and state consumer protection laws.
- Healthcare privacy and confidentiality laws.
- HIPAA, where applicable.
- Professional licensing requirements.
- Rules governing patient testimonials and endorsements.
- Advertising platform policies.
- Applicable restrictions on healthcare referral arrangements and inducements.
Dental Office SEO does not provide legal, medical, dental, or regulatory compliance advice unless expressly agreed and appropriately qualified.
Clients must review and approve clinical representations, professional credentials, treatment descriptions, pricing statements, and other regulated marketing claims.
Client approval does not relieve Dental Office SEO of its own legal responsibilities.
7. HIPAA and Protected Health Information
Clients must not provide protected health information (“PHI”) or other sensitive patient information unless such processing has been specifically authorized and the parties have established all legally required agreements and safeguards.
Where Dental Office SEO acts as a HIPAA business associate, the parties must execute a legally sufficient Business Associate Agreement before the Company receives or processes PHI in that capacity.
Dental Office SEO may decline access to patient databases, clinical systems, appointment records, call recordings, or other sensitive information where appropriate protections have not been established.
Clients are responsible for identifying systems and workflows that may contain regulated patient information.
No provision of these Terms overrides applicable HIPAA requirements or a valid Business Associate Agreement.
8. Fees, Billing, and Payment Terms
Fees for Services are determined by the applicable proposal, invoice, subscription arrangement, or written service agreement.
Unless otherwise agreed in writing:
- Fees are stated in U.S. dollars.
- Payment is due by the date indicated on the invoice.
- Recurring Services are billed according to the agreed billing cycle.
- Advertising expenditures, hosting charges, domain fees, software subscriptions, and third-party costs are separate unless expressly included.
- Additional Services require separate authorization and may result in additional charges.
- Clients are responsible for applicable taxes, excluding taxes imposed on Dental Office SEO’s net income.
For recurring engagements, billing continues for the agreed service period unless the engagement is terminated in accordance with the applicable agreement.
Dental Office SEO may suspend nonessential Services for overdue undisputed invoices after providing reasonable notice and an opportunity to resolve the issue.
Any late fees, interest, collection charges, or other financial penalties must be expressly authorized by the applicable agreement and permitted by law.
9. Refunds and Cancellation
Fees compensate Dental Office SEO for professional time, labor, planning, research, technical work, software resources, and other agreed Services.
Unless otherwise stated in a signed agreement, fees for Services already performed and approved noncancelable third-party expenses are nonrefundable to the extent permitted by law.
Prepaid fees attributable to Services not yet performed will be addressed according to the applicable agreement and legal requirements.
A client seeking cancellation must provide written notice in accordance with the governing service agreement.
Cancellation does not eliminate payment obligations for completed work, authorized expenses, or other amounts lawfully owed.
No provision of these Terms eliminates a client’s right to seek a refund or remedy for Services not performed, material breach, fraud, or other circumstances where applicable law requires relief.
10. Recurring Services and Renewal
Certain Services may be offered through monthly retainers, recurring subscriptions, or fixed-term engagements.
The applicable agreement will specify the billing frequency, duration, renewal arrangements, and cancellation requirements.
Recurring fees may continue during an agreed service period even if search rankings, advertising results, or other performance indicators fluctuate.
Any automatic renewal, recurring payment authorization, price adjustment, or cancellation procedure will be disclosed and implemented in accordance with applicable law.
Where required, Dental Office SEO will obtain affirmative consent to automatic renewal terms and provide legally required acknowledgments, reminders, and cancellation mechanisms.
11. Changes to Scope and Additional Work
Requests outside the agreed scope may require additional fees, revised timelines, or a separate written authorization.
Examples include:
- Additional website pages or landing pages.
- New geographic targeting campaigns.
- Additional advertising accounts.
- Website redesigns or migrations.
- Major technical repairs.
- Emergency website recovery.
- Additional content production.
- New integrations or tracking configurations.
- Work arising from client-requested platform changes.
- Significant revisions beyond agreed allowances.
Dental Office SEO is not obligated to perform additional work without an agreed scope and compensation arrangement.
12. Client Approval and Content Responsibility
Clients may be asked to approve website copy, advertisements, marketing campaigns, design elements, business listings, and other materials.
Clients are responsible for identifying factual inaccuracies and notifying Dental Office SEO of required corrections.
Dental Office SEO may rely reasonably on factual information supplied or approved by authorized client representatives.
We reserve the right to decline content or instructions that we reasonably believe are unlawful, misleading, discriminatory, infringing, or inconsistent with applicable platform policies.
Dental Office SEO does not guarantee that any specific content will be approved, indexed, displayed, or distributed by third-party platforms.
13. Intellectual Property and Ownership
13.1 Dental Office SEO Materials
Dental Office SEO retains ownership of its preexisting intellectual property, including proprietary methodologies, internal processes, templates, software, scripts, systems, research methods, workflows, know-how, and other materials developed independently of a particular client engagement.
No transfer of such intellectual property occurs unless expressly stated in a signed written agreement.
13.2 Client Materials
Clients retain ownership of materials, trademarks, logos, business information, and other intellectual property they lawfully own and provide for use in connection with the Services.
Clients grant Dental Office SEO a limited, nonexclusive license to use those materials as reasonably necessary to perform authorized Services.
13.3 Deliverables
Ownership and licensing rights for websites, written content, graphics, marketing materials, source files, and other deliverables will be governed by the applicable written service agreement.
Unless otherwise agreed, upon full payment of all amounts due for a deliverable, Dental Office SEO grants the client a perpetual, nonexclusive license to use the final deliverable for its intended business purposes, excluding third-party materials and Dental Office SEO’s retained intellectual property.
Transfer of exclusive ownership, source code, editable files, or other specified rights requires express written agreement.
Third-party fonts, plugins, software, images, and other licensed materials remain subject to their respective license terms.
14. Account Ownership and Access
Ownership and administrative control of websites, domain registrations, advertising accounts, Google Business Profiles, analytics properties, and other digital assets will be determined by the applicable agreements and third-party platform rules.
Unless expressly agreed otherwise, clients retain ownership of accounts and assets registered in their names.
Dental Office SEO may maintain authorized access for service delivery and may remove its own access upon termination.
We will not intentionally withhold client-owned accounts or credentials as leverage for payment where doing so would violate applicable law or contractual obligations.
Transition assistance, account migration, documentation, and other offboarding work may be subject to separately agreed fees.
15. SEO Methods and Link Acquisition
Dental Office SEO may perform on-page optimization, technical improvements, content development, local citations, outreach, link acquisition, and other SEO activities.
Search engines independently determine whether to index, rank, value, discount, or penalize particular content and links.
We do not guarantee that backlinks, citations, directory listings, or other placements will remain active indefinitely.
Third-party website owners may remove or modify links and content without our approval.
Dental Office SEO will perform contracted activities in accordance with the agreed scope and applicable legal obligations.
Specific link acquisition practices, quality standards, prohibited methods, and deliverable requirements may be established in the applicable service agreement.
16. Advertising Services
Where Dental Office SEO manages paid advertising campaigns, clients acknowledge that advertising performance is affected by competition, bidding conditions, market demand, platform policies, landing pages, and other variables.
Unless expressly agreed otherwise, advertising spend is separate from management fees.
Clients are responsible for funding advertising accounts and maintaining valid payment methods.
Dental Office SEO does not guarantee any specific cost per click, cost per acquisition, conversion volume, return on advertising spend, or revenue outcome.
Advertising platforms may reject advertisements, suspend accounts, modify policies, or change pricing.
Dental Office SEO remains responsible for performing its contracted management obligations with reasonable professional care.
17. Reporting, Analytics, and Data Accuracy
Dental Office SEO may provide performance reports using data from search engines, analytics platforms, advertising networks, call tracking systems, and other sources.
Such data may be affected by attribution limitations, tracking restrictions, privacy settings, technical issues, reporting delays, and platform methodologies.
Accordingly, reported traffic, rankings, conversions, calls, and leads may differ from actual business outcomes.
Reports represent information reasonably available through the relevant systems at the time of preparation.
Dental Office SEO does not warrant the independent accuracy or completeness of third-party reporting systems.
18. Confidentiality
Each party may receive confidential business, financial, technical, operational, or proprietary information belonging to the other party.
Unless otherwise authorized or required by law, each party agrees to use reasonable care to protect confidential information and disclose it only to persons who reasonably need access for authorized purposes and are subject to appropriate confidentiality obligations.
Confidentiality obligations do not apply to information that:
- Becomes publicly available without breach.
- Was lawfully known before disclosure.
- Is independently developed without misuse of confidential information.
- Is lawfully obtained from another source without confidentiality restrictions.
- Must be disclosed under applicable law or legal process.
Any separate nondisclosure agreement or data processing agreement will govern where applicable.
19. Website Availability and Technical Limitations
Dental Office SEO endeavors to maintain a functional and accessible Website but does not guarantee uninterrupted or error-free availability.
The Website may be temporarily unavailable due to maintenance, hosting disruptions, software failures, cybersecurity incidents, or other technical conditions.
We may modify, suspend, or discontinue Website features where reasonably necessary.
We do not guarantee that the Website will be free from all vulnerabilities, viruses, or technical defects.
This section does not limit responsibilities imposed by applicable consumer protection or data security laws.
20. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
EXCEPT FOR EXPRESS WARRANTIES OR COMMITMENTS SET FORTH IN A SIGNED SERVICE AGREEMENT, DENTAL OFFICE SEO DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE EXTENT SUCH DISCLAIMERS ARE LEGALLY PERMITTED.
WE DO NOT WARRANT THAT SEARCH ENGINE RESULTS, ADVERTISING OUTCOMES, OR THIRD-PARTY PLATFORM PERFORMANCE WILL MEET ANY PARTICULAR BUSINESS OBJECTIVE.
NOTHING IN THIS SECTION EXCLUDES WARRANTIES, REMEDIES, OR OTHER RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DENTAL OFFICE SEO AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AUTHORIZED REPRESENTATIVES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE WEBSITE OR SERVICES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, OR LOSS OF
